Anthropic files public S-1 with SEC for Nasdaq IPO under ticker "ANT"
Anthropic publicly filed its S-1 prospectus with the SEC (after a confidential filing in June), stating it plans to list on Nasdaq as "ANT". The filing discloses an $80.7B net loss on $16.3B revenue in H1 2026 (reportedly mostly accounting charges tied to funding notes). It also discloses compute commitments: about $3.1B/month to SpaceX for Nvidia GPU access (up to $120.5B by 2029), $44.9B with Microsoft through 2033, at least $114.5B with Google through 2033, and $110B with Amazon over ten years. It reports executive pay (Dario Amodei nearly $18M in 2025, Daniela Amodei $16.4M) and lists risk factors, including AI sentience, AI-specific taxes, copyright disputes and uninsurable catastrophic incidents.

What happened
Anthropic has made its S-1 prospectus public with the SEC, following a confidential filing in June. It plans to list on Nasdaq under the ticker "ANT". The filing reports an $80.7B net loss on $16.3B revenue for the first half of 2026, which coverage says is mostly accounting charges tied to funding notes. It also lists compute commitments: about $3.1B a month to SpaceX for Nvidia GPU access (up to $120.5B by 2029), $44.9B with Microsoft through 2033, at least $114.5B with Google through 2033 and $110B with Amazon over ten years. Executive pay is disclosed too, with Dario Amodei on nearly $18M for 2025 and Daniela Amodei on $16.4M. No pricing, share count or listing date is given in the material we have.
Why it matters
This is the first time outsiders can check a frontier AI lab's real finances and obligations against audited-style disclosures, rather than leaks. Investors can start valuing the company, and rivals, suppliers and regulators get a benchmark for what training and running these models costs. The compute commitments run to roughly $390B or more across the named partners, so Anthropic's solvency depends on revenue growing very fast and on those partners staying aligned. The risk factors (copyright disputes, AI-specific taxes, uninsurable catastrophic incidents) are legal boilerplate, but they show what the company's lawyers think could go wrong. Whether the IPO actually happens, and at what price, is still uncertain.
What is noise
The "revolutionize every area of human endeavor" line is the company's own pitch language and tells you nothing about performance. The $80.7B loss looks alarming but is reportedly mostly non-cash accounting charges, so it is a poor guide to the underlying cash burn, which the headline numbers do not show. The "race to beat OpenAI" framing is also a media storyline, and filing first does not mean listing first or doing better. Note too that the Verge piece is secondary reporting, and the compute figures are maximum commitments, not money already spent.
Watch next
- 01Amendments to the S-1 giving the price range, share count and implied valuation, plus the actual listing date and first-day trading on Nasdaq.
- 02Cash flow, gross margin and revenue growth in the next quarterly numbers, to see whether revenue is outrunning the compute commitments, especially the SpaceX arrangement at about $3.1B a month.
- 03OpenAI's response: a public filing or a confirmed timetable, and any SEC comment letters or regulatory pushback on the risk disclosures, particularly copyright litigation.
